Terms and Conditions

These terms govern enquiries, order requests and supply agreements between Amenities Era and its business customers. We sell business to business only; these terms are not written for consumers.

Placing an order
Submitting the order form on this website is a request, not a purchase. It places no obligation on you and takes no payment. Prices shown by the configurator are indicative.
A contract is formed only when we confirm your order in writing, stating the final price, the delivery cost and the lead time. We may decline a request, for example where the quantity, artwork or destination is outside what we can produce or deliver.
Prices, VAT and delivery costs
All prices are quoted in euro and exclude VAT and delivery unless stated otherwise. VAT is applied according to Bulgarian law and the VAT status of your business: [CONFIRM THE TREATMENT FOR BULGARIAN CUSTOMERS, VAT-REGISTERED EU CUSTOMERS (REVERSE CHARGE) AND NON-EU CUSTOMERS].

Payment
We accept bank transfer against an invoice only. No card payments are taken and no payment is processed through this website.
After we confirm your order we issue a proforma invoice payable to [BANK NAME], IBAN [IBAN], BIC [BIC]. Payment terms are [PAYMENT TERMS, e.g. 100% in advance, or 50% deposit with the balance before dispatch]. Bank charges are borne by [SPECIFY WHICH PARTY].
Late payment attracts statutory interest under Bulgarian law. We may suspend production or delivery while an invoice is overdue.
Custom logos and artwork approval
You confirm that you own or are licensed to use any logo, trade mark or artwork you send us, and that its use on the products does not infringe anyone's rights. You agree to indemnify us against any third-party claim arising from artwork you supplied.
Before production we send a proof showing the logo as it will be applied. Production begins only after you approve that proof in writing. Once you have approved it, the proof defines what we manufacture, and we are not responsible for errors it contained.
Small variations in colour, position and size are inherent to the process. [STATE THE TOLERANCE YOU WILL STAND BEHIND, e.g. logo position within ±3 mm; colour matched to the nearest available thread or print colour rather than an exact Pantone.]
Lead times and delivery
Lead times are confirmed with each order and typically [LEAD TIME, e.g. 10-15 working days] from approved artwork and cleared payment. They are estimates given in good faith, not guarantees, unless we agree a fixed date in writing.
Risk passes to you on [SPECIFY, e.g. handover to the carrier]. Title passes when payment is received in full.
Inspection, defects and returns
Please inspect goods on arrival. Notify visible damage or shortages within [PERIOD, e.g. 5 working days] of delivery and other defects within [PERIOD, e.g. 14 days], with photographs and your order reference.
Custom-branded products are made to your specification and cannot be returned or exchanged for a change of mind. This does not affect your rights where goods are defective or do not match the approved proof, in which case we will replace the affected goods or credit them.
Unbranded stock items may be returned within [PERIOD] if unopened and in original packaging, subject to [RESTOCKING TERMS, IF ANY].
Cancellation
You may cancel a confirmed order at no cost until artwork is approved and production begins. After that, [STATE WHAT IS RECOVERABLE, e.g. costs already incurred for materials and production time are payable].
Liability
Our liability for any order is limited to the invoiced value of that order. We are not liable for indirect or consequential loss, including lost profit or lost business. Nothing here limits liability that cannot be limited by law, including for death, personal injury or intentional misconduct.
Circumstances beyond our control
We are not in breach of these terms where performance is prevented or delayed by events outside our reasonable control, including material shortages, transport disruption, industrial action, fire, flood or measures imposed by public authorities. We will tell you promptly and agree a revised timetable.
Governing law and disputes
These terms are governed by Bulgarian law. We will try to resolve any dispute in good faith; failing that, the courts of [CITY, e.g. Plovdiv], Bulgaria have exclusive jurisdiction. [CONFIRM THIS CLAUSE IS ENFORCEABLE AGAINST YOUR EU BUSINESS CUSTOMERS.]
